BY-LAWS OF AN CLAIDHEAMH SOLUIS / THE CELTIC ARTS CENTER

ARTICLE 1

Board of Directors

The Directors of An Claidheamh Soluis / The Celtic Arts Center shall be no fewer than three (3) nor more than twelve (12) in number, shall initially consist of the persons named in the Certificate of Incorporation as Directors. An election of directors shall be held once each year. The election of directors shall conclude not later than at the adjournment of the annual meeting of the organization. The number of directorships to be filled by election shall be specified by the serving Board of Directors, subject to the provisions of these by-laws.

Each director shall continue in office for a period of two years. The term of service will begin on the first day of November following the annual election in which the Board Member was elected. The two-year term facilitates that only half of the Board of Directors will be subject to change each year, thereby affecting a consistency in Board operations from year to year. If any vacancy is created by the death, resignation, or incapacity of any director before the expiration of his or her term or by the creation of one or more new directorships, such vacancy may be filled at any meeting of the Board by vote or a majority of the directors then in office, regardless of their number. A director elected to fill a vacancy shall hold office for the duration of the term that they have assumed and until the election and qualification of his or her successor.

Any director may resign by written notice to the President or Secretary. Any director may be removed at any time by the vote of the directors provided there is a quorum of not less than a two-third majority of the directors present at the meeting at which such action is taken, or without cause by majority vote of the membership.

ARTICLE 2

Committees
A permanent, standing Executive Committee consisting of the President, Vice-President, Treasurer and Secretary of the corporation shall be responsible for the day-to-day operational decisions of the Center, and are authorized to expend up to $250 of the Center's funds without board approval.

The Board may from time to time, and upon the majority vote of the directors, appoint other committees, and may assign to such committees such advisory or other functions as it may deem advisable.
